Terms of Service

These Terms of Service ("Terms") govern your access to and use of Exec Foundry (the "Service"), operated by Catalyst Forge, LLC ("we," "us," or "our"), a Wyoming limited liability company. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Exec Foundry is a job search and career management platform. Features available to your account depend on your subscription tier and may evolve over time as we add, remove, or modify capabilities. Current features and tier-specific availability are described in the live product at app.execfoundry.com.

The Service is available at app.execfoundry.com.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Accounts

You must be at least 18 years old to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

You agree to provide accurate information and keep it current. We may suspend or terminate accounts that contain false information or are used in violation of these Terms.

You may not share your account with others or use the Service on behalf of another person without their knowledge and consent, except through the built-in Delegation Access feature.

3. Subscriptions & Billing

Plans and Trial

Exec Foundry offers multiple paid subscription tiers. As of these Terms, those tiers include Pro, Max, Unlimited, Stealth, and Hold. Current pricing is listed at app.execfoundry.com/start. Feature limits, monthly allowances, and export rules are listed on How it works. Both may be updated from time to time. Material changes to existing subscribers' pricing or feature limits will be communicated under Section 12 (Changes to These Terms).

New accounts receive a 10-day free trial with full Unlimited-tier access: every feature, no monthly caps. No payment information is required to start a trial. After the trial, access depends on the paid plan you choose (or pause / Hold as described below); features and monthly allowances differ by tier as shown on How it works.

At the end of the trial, if you have not subscribed to a paid plan, generation and new job work pause. You may still sign in during a 30-day retention window to export your workspace (CSV and ZIP), subscribe to a paid plan, or choose Hold. If you opted into the Hold plan during the trial, your account converts to Hold ($10/mo) and retains read-only data access. CSV export remains available on Hold; ZIP export is not included. Accounts that remain unsubscribed after 30 days are deleted. We will notify you before deletion.

Payment

Paid subscriptions are billed in advance on a recurring monthly basis through Stripe. By subscribing, you authorize us to charge your payment method on each billing cycle. All prices are in USD.

Cancellation

You may cancel your subscription at any time through the Billing section in the app or via the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods.

Refunds

Refunds are not provided for partial billing periods. As a one-time courtesy, we will provide a full refund within 7 days of your first charge after trial conversion if you are dissatisfied with the Service. Subsequent charges are not refundable except at our discretion. If you believe you were charged in error, contact [email protected] within 14 days of the charge.

Plan Changes

Upgrades take effect immediately. Downgrades take effect at the next billing cycle. If usage on your account exceeds the limits of your new plan (e.g., active job count), you will need to reduce it before the downgrade takes effect.

4. Your Content

Ownership

You retain all rights to the content you upload or create in Exec Foundry — including your resumes, cover letters, job notes, STAR stories, dossiers, prep artifacts, connection records, branded content, prompts, uploads, exported files you store with us, and other profile data we host for your account ("Your Content").

License to Us

By using the Service, you grant Catalyst Forge, LLC a limited, non-exclusive license to store, process, and transmit Your Content solely to provide the Service to you. We do not claim ownership of Your Content and do not use it to train AI models.

AI Processing

Certain features send your content to third-party services to generate outputs on your behalf — including Anthropic for large language models and Tavily for web search used in research features. Others (such as billing) use additional vendors described in our Privacy Policy. You understand that:

  • AI-generated outputs (tailored resumes, cover letters, interview prep, etc.) are suggestions, not guarantees.
  • You are responsible for reviewing all AI-generated content before using it in job applications.
  • We are not liable for inaccuracies, omissions, or suboptimal results in AI outputs.

Responsibility for Content

You are solely responsible for Your Content and represent that you have the right to upload and use it. You agree not to upload content that is illegal, infringes third-party rights, or contains malicious code.

Exec Foundry does not verify the accuracy or truthfulness of resume content, professional history, or any other information you provide. You are solely responsible for the truthfulness and accuracy of all materials generated through the Service and submitted to third parties. We are not a party to your representations to prospective employers.

5. Acceptable Use

You agree not to:

  • Use the Service to apply to jobs with fabricated credentials, false experience, or materially misleading information.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Reverse engineer, decompile, or scrape the Service.
  • Use automated tools to create accounts, abuse trial access, or bypass plan limits.
  • Resell or sublicense access to the Service without written permission.
  • Use the Service in any way that violates applicable law.

We may suspend or terminate accounts that violate these rules without prior notice.

6. Delegation & Multi-Account Features

Exec Foundry allows account holders to grant access to other users ("delegates") at configurable permission levels. You are responsible for ensuring that delegates you authorize comply with these Terms. You remain responsible for all activity conducted under your account by delegates.

The multi-account switcher feature allows you to link personally-owned accounts. You may only link accounts that you personally own and control.

7. Data Export & Portability

On a trial or paid search plan, export your job pipeline from Billing & Data using CSV or ZIP packages (tailored documents and job records). After an unsubscribed trial, sign in during the 30-day retention window to export CSV and ZIP before the account is deleted. Hold and Stealth include CSV export; ZIP export is not included. We encourage you to export your data before canceling.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate, complete, or suitable for any particular purpose. Job search outcomes depend on factors entirely outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CATALYST FORGE, LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR EMPLOYMENT OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 3 MONTHS PRECEDING THE CLAIM, OR (B) $500.

10. Indemnification

You agree to indemnify and hold harmless Catalyst Forge, LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, or your violation of these Terms.

11. Governing Law & Disputes

These Terms are governed by the substantive laws of the State of Wyoming, excluding its conflicts-of-law rules that would apply another state's law. Catalyst Forge, LLC is a Wyoming limited liability company. Any disputes arising from these Terms or the Service shall be resolved only in the state or federal courts located in the Commonwealth of Virginia, and you consent to personal jurisdiction there. Wyoming law determines how these Terms are interpreted; Virginia is the agreed forum regardless of corporate formation jurisdiction.

Before filing any legal claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via in-app notice or email at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Termination

You may close your account at any time from the app settings. We may terminate or suspend your account immediately for material violations of these Terms. Upon termination, your data will be handled as described in our Privacy Policy.

Sections 4 (Your Content — Ownership), 8, 9, 10, and 11 survive termination.

14. Miscellaneous

  • Entire agreement — These Terms and the Privacy Policy constitute the entire agreement between you and Catalyst Forge, LLC regarding the Service.
  • Severability — If any provision is found unenforceable, the remaining provisions remain in full effect.
  • No waiver — Failure to enforce any provision does not constitute a waiver of that right.
  • Assignment — You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
